Wapisys – Vendor Terms and Conditions
1. Introduction
Welcome to Wapisys. These Vendor Terms and Conditions (“Terms”) govern your relationship with Wapisys as a vendor, reseller, or service provider. By signing up or partnering with us, you agree to abide by these Terms.
2. Vendor Eligibility
You must be legally authorized to enter into binding agreements in your jurisdiction.
You must provide accurate company information, contact details, and tax/registration documents (if required).
Wapisys reserves the right to approve or reject any vendor application at its sole discretion.
3. Vendor Responsibilities
Vendors must follow all Meta/WhatsApp policies, Wapisys service rules, and applicable laws.
Vendors shall ensure their clients use the services ethically and lawfully.
Vendors are responsible for:
Managing their customer accounts
Providing correct API usage information
Avoiding any spam or illegal messaging activity
Vendors must promptly inform Wapisys about any misuse or suspicious activity in their network.
4. Branding & Representation
Vendors are not authorized to represent themselves as WhatsApp or Meta.
Vendors may use the Wapisys name and branding only as per our guidelines.
Misleading or unauthorized use of our brand may lead to immediate termination.
5. Pricing & Payments
Vendors must follow agreed pricing models and payment terms.
All invoices must be paid on time as per the contract.
Delayed or non-payment may result in account suspension or legal action.
Vendors are responsible for collecting payments from their end customers.
6. Commission & Profit Sharing
If applicable, Wapisys will share agreed commissions or margins with vendors.
Any change in commission structure will be notified in advance.
Commissions may be withheld if the vendor violates policies or is under investigation.
7. Compliance & Legal Obligations
Vendors must comply with all local laws, including data protection, consumer protection, and anti-spam regulations.
Vendors must ensure proper customer consent is obtained before initiating WhatsApp messaging.
Any legal issues arising from a vendor’s misuse will be the sole responsibility of the vendor.
8. Data Privacy & Security
Vendors must protect customer data and API credentials.
Unauthorized sharing, selling, or leaking of data is strictly prohibited.
Wapisys may monitor vendor activity to ensure compliance.
9. Service Availability & Support
Wapisys will provide vendor-level technical support.
Vendors are responsible for providing first-level support to their customers.
Wapisys is not liable for business losses due to vendor mismanagement or third-party disruptions.
10. Termination of Partnership
Wapisys reserves the right to suspend or terminate vendor access at any time if these Terms are violated.
Vendors may terminate the agreement by giving 30 days’ written notice.
Upon termination, vendors must immediately stop using Wapisys branding and return any proprietary materials.
11. Limitation of Liability
Wapisys shall not be liable for any indirect, incidental, or consequential damages arising out of vendor activities or misuse.
Vendor indemnifies Wapisys against any claims arising from their operations.
12. Modifications to Terms
Wapisys may revise these Terms at any time. Continued partnership after updates indicates vendor’s acceptance of the revised terms.
13. Governing Law & Jurisdiction
These Terms shall be governed by the laws of Pakistan. Any disputes shall be resolved exclusively in the courts of Pakistan.
